Prosperify is an informational and organizational tool only. Nothing in this application constitutes financial, investment, legal, tax, or accounting advice. By using Prosperify, you accept the terms of this Disclaimer.

1. Purpose of This Disclaimer

This Financial Disclaimer (the "Disclaimer") is provided by Xiom OÜ, a private limited company incorporated in Estonia (registry code: 17487029, registered address: Sepapaja tn 6, 15551 Tallinn, Harju maakond, Estonia) ("Xiom," "we," "our," or "us"), in connection with the Prosperify mobile application, website, and related services (the "Service").

This Disclaimer forms part of, and should be read together with, our Terms of Service and EULA and Privacy Policy. In the event of a conflict between this Disclaimer and the Terms of Service, the Terms of Service prevail, except where this Disclaimer provides clearer warnings — in which case both apply concurrently.

By creating an account, accessing, or continuing to use the Service, and by acknowledging this Disclaimer at first use through the in-app acknowledgment screen, you confirm that you have read and understood this Disclaimer and agree to its terms.

2. The Service Is Educational and Organizational, Not Advisory

Prosperify is designed to help you organize, record, and visualize your personal financial information. It is a tool for personal informational use, similar in nature to a spreadsheet, calculator, or notebook — only with additional features.

Prosperify does not provide:

Investment advice or recommendations to buy, sell, or hold any security, cryptocurrency, asset, or financial instrument
Personalized investment recommendations within the meaning of MiFID II, the UK FCA Handbook, the U.S. Investment Advisers Act, or any equivalent regulatory framework
Financial planning services
Tax advice, tax planning, or tax preparation services
Accounting services or attestation of financial position
Legal advice on financial, estate, or any other matters
Brokerage, dealing, or arranging services for any financial product
Custody of funds or assets
Payment services within the meaning of EU Directive 2015/2366 (PSD2) or equivalent
Crypto-asset services within the meaning of Regulation (EU) 2023/1114 (MiCA) or equivalent

We are not licensed or registered as a financial advisor, investment advisor, broker-dealer, asset manager, tax professional, accountant, or attorney in any jurisdiction. May contain errors, omissions, gaps, or stale values, particularly for less liquid or less widely covered assets
Is provided "as is" and "as available", without warranty of any kind
Should not be used for actual trading, settlement, valuation for legal or regulatory purposes, audit, tax filing, or any decision where price accuracy is material
May differ — sometimes substantially — from prices you would actually obtain in the market

For traditional securities specifically: prices shown are typically end-of-day or delayed, not live tradeable quotes.

For cryptocurrencies and digital assets specifically: prices can be highly volatile, vary dramatically across exchanges, and may not reflect prices available in your country or on your chosen platform. We do not endorse any cryptocurrency, blockchain, project, token, or platform.

You should always verify prices, balances, and valuations independently through your bank, broker, exchange, or a qualified professional before relying on them.

4. AI-Generated Insights

The Service includes features that use artificial intelligence and machine learning ("AI Features") to analyze the financial data you enter and surface patterns, summaries, and observations.

You acknowledge and agree that:

AI Features are decision-support tools, not automated decisions, and do not produce legal effects or similarly significant effects within the meaning of GDPR Article 22
AI Features do not constitute personalized investment recommendations, financial advice, tax advice, or any other regulated advice
AI-generated outputs are based on the limited data you have entered into the Service and on general financial concepts, and do not consider your full financial situation, objectives, risk tolerance, time horizon, tax position, or personal circumstances
AI-generated outputs may be inaccurate, incomplete, outdated, generic, or simply wrong ("hallucinations" are a known limitation of AI systems)
AI-generated outputs must not be the sole basis for any financial, investment, tax, legal, or other decision
AI Features do not create a fiduciary, advisory, or professional relationship between you and Xiom
We do not guarantee the suitability, accuracy, or appropriateness of AI-generated outputs for your situation

You may opt out of AI Features at any time through Settings → AI Features, in which case the relevant features will be disabled for your account.

5. Projections, Forecasts, and Forward-Looking Calculations

The Service may include features that generate projections, forecasts, simulations, or other forward-looking calculations, such as:

Retirement projections
"FIRE" (Financial Independence, Retire Early) calculators
Future net worth simulations
Goal trackers and time-to-target calculators
Compound interest, savings rate, and accumulation calculators
Withdrawal rate models (e.g., the "4% rule")
Scenario comparisons

You acknowledge and agree that all such projections are hypothetical and illustrative only. Specifically:

They are based on assumptions you provide or that we apply by default (e.g., expected return rates, inflation, contribution amounts, time horizons)
They use simplified mathematical models that do not reflect real-world complexities such as tax, transaction costs, sequence-of-returns risk, market volatility, behavioral effects, or jurisdiction-specific rules
They are not predictions of actual future outcomes
Actual results will vary — often significantly — from any projection shown

We do not verify, validate, or audit any information you enter, and we do not monitor your financial activity outside the Service.

Prosperify is a personal finance information and tracking application. It does not:

Hold, transfer, exchange, custody, or move any funds, securities, or crypto-assets
Connect to or integrate with bank, brokerage, exchange, or wallet accounts
Execute, route, or arrange any trade or transaction
Provide personalized recommendations targeted at specific buy/sell/hold decisions
Solicit investments or offer financial products

For these reasons, the Service is not within the scope of:

Regulation (EU) 2014/65 (MiFID II) on markets in financial instruments
Directive (EU) 2015/2366 (PSD2) on payment services
Regulation (EU) 2023/1114 (MiCA) on markets in crypto-assets
The U.K. Financial Services and Markets Act 2000 (FSMA)
The U.S. Investment Advisers Act of 1940 or the Securities Exchange Act of 1934
Equivalent financial-services or investment-advisory regulation in other jurisdictions

We have not sought and do not hold authorization from any financial regulator. If, in your jurisdiction, your particular use of the Service would require regulatory authorization for you, you are responsible for obtaining it or refraining from such use.

If financial regulation in your jurisdiction prohibits or restricts use of tools like Prosperify, you must not use the Service.

The Service is offered globally, but availability and appropriateness vary by jurisdiction. Some features (including AI Features, market data coverage for specific securities or cryptocurrencies, and projection tools) may not be appropriate or lawful in all locations.

You are responsible for ensuring that your use of the Service is lawful in your country of residence and any country from which you access the Service.

13. Third-Party Content and Links

The Service may display data, content, or links from third-party sources, including market-data providers, news sources, exchange rate feeds, and crypto-asset price providers. We:

Do not endorse any third-party product, service, asset, project, or provider
Are not responsible for the accuracy, reliability, or content of third-party material
Do not control the availability or content of external links

Your interactions with third-party services are governed by their own terms and policies.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Xiom shall not be liable for any:

Financial losses, missed gains, or adverse outcomes resulting from your use of, or reliance on, the Service, including AI-generated insights, projections, calculations, or market data
Investment, tax, or legal decisions you make using or referring to the Service
Errors, inaccuracies, omissions, delays, or unavailability in market data, exchange rates, or any other content
Decisions to act or refrain from acting based on information shown in the Service
Losses arising from third-party content, services, or providers
Technical issues that affect the display, calculation, or availability of any feature

The full limitation of liability provisions, including the cap on liability and mandatory carve-outs (for death, personal injury, fraud, gross negligence, willful misconduct, breach of essential contractual obligations, and any liability that cannot be excluded by law), are set out in Section 17 of our Terms of Service and apply equally to this Disclaimer.

Nothing in this Disclaimer limits or excludes:

Any liability that cannot be excluded under applicable law
Statutory rights of consumers, including under EU Directive 2019/770 (digital content and services), the UK Consumer Rights Act 2015, the Australian Consumer Law, and equivalent laws

You understand the limitations of market data, AI Features, and projections
You agree that Xiom is not liable for outcomes resulting from your use of the Service, except as required by mandatory law

Your acknowledgment is recorded with a timestamp, the version of this Disclaimer in effect at the time, and your account identifier, and is retained as evidence of consent.

16. Changes to This Disclaimer

We may update this Disclaimer to reflect changes in the Service, applicable law, or regulatory expectations.

For material changes:

We will provide notice through the Service or by email
We will request a fresh acknowledgment from active users where the change materially affects rights or risk
The "Last updated" date at the top of this Disclaimer will be revised
