Terms of Service
Last updated: September 28, 2026 Effective date: April 20, 2026 Version: 2.2.0
1. Introduction and Acceptance
These Terms of Service and End User License Agreement (collectively, the "Terms") form a binding agreement between you ("you" or "User") and Xiom OÜ, a private limited company incorporated in Estonia (registry code: 17487029, registered address: Sepapaja tn 6, 15551 Tallinn, Harju maakond, Estonia) ("Xiom," "we," "our," or "us"), governing your use of the Prosperify mobile application, website, and related services (collectively, the "Service").
By creating an account, downloading, installing, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
These Terms include:
- General Terms of Service (Sections 1–22)
- End User License Agreement / EULA (Section 14)
- App Store-specific terms (Section 15)
- Mandatory consumer law information (Section 21)
2. Pre-Contractual Information for Consumers
In accordance with EU Directive 2011/83/EU on consumer rights and equivalent laws elsewhere, before you enter into a contract with us we provide the following essential information:
3. Description of the Service
Prosperify is a personal finance and wealth tracking application that allows you to:
- Manually record assets, liabilities, income, and expenses
- Track investment portfolios and net worth over time
- View market data and reference financial information
- Receive AI-generated insights based on the data you enter
- Use additional features available in our premium subscription tiers
What Prosperify is not:
- Prosperify is not a bank, broker, investment advisor, financial advisor, tax advisor, or legal advisor
- Prosperify does not execute transactions, hold funds, or move money on your behalf
- Prosperify does not connect to your bank, brokerage, or other financial accounts
- Prosperify does not provide investment advice, financial advice, tax advice, or legal advice
The Service is a tool for personal informational use only. See Section 18 (Financial Disclaimer) for important information.
4. Account Registration
To use most features of the Service, you must create an account. You agree:
- To provide accurate, current, and complete information during registration and to keep it updated
- To maintain the security and confidentiality of your account credentials
- To notify us promptly of any unauthorized access to or use of your account
- To be responsible for all activities that occur under your account
- That you are at least 18 years old. The Service is not intended for individuals under 18, and we do not knowingly permit minors to register
- That you will not maintain more than one account, except with our prior written consent
- That you will not share, sell, lease, or transfer your account to any third party
We may refuse registration, cancel an account, or limit access to features at our reasonable discretion in accordance with Section 12.
5. Plans and Billing
5.1 Plans
The Service is offered in:
- A Free tier with basic functionality at no cost
- One or more Premium subscription tiers with additional features, billed on a monthly or annual basis
- A One-Time Plan, providing access to premium features for the operational lifetime of the Service in exchange for a one-time payment
Current features and prices for each tier are displayed in the Service and on our website. We may change features or pricing in accordance with Section 5.7 (for subscriptions) and Section 5.8 (for One-Time Plans).
5.2 Sales Channels
Plans are sold through:
- Apple App Store (in-app purchase) — billed by Apple under your App Store account
- Google Play Store (in-app purchase) — billed by Google under your Google Play account
- Direct purchase via our website — sold and billed by Paddle.com Market Limited ("Paddle") acting as our authorised reseller and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, invoicing, cancellation, and refund mechanics for direct purchases are governed by the Paddle Buyer Terms. The Prosperify service itself is provided to you by Xiom OÜ under these Terms.
One-Time Plans may not be available through all channels. Where they are sold through an app store, they are typically offered as non-consumable in-app purchases and are subject to that app store's rules on restoration, family sharing, and refunds.
Where you purchase through an app store, the app store's terms of sale also apply and may govern billing, cancellation, and refunds. See Section 15.
5.3 Free Trial
We may offer a free trial of premium features. Unless we expressly state otherwise:
- The free trial is available once per user
- At the end of the trial, the Service does not automatically convert to a paid subscription
- To continue accessing premium features after the trial, you must affirmatively opt in to a paid subscription or One-Time Plan
- If you do not opt in, your account will revert to the Free tier and your data will remain accessible
5.4 Pricing, Taxes, and Payment
- All prices are displayed inclusive of applicable taxes (including VAT/GST) where required by law
- For EU consumers, VAT is charged at the rate applicable in your country of residence under the EU "place of supply" rules for digital services
- You authorize Paddle, or the applicable app store, to charge your selected payment method for all fees due. For direct purchases, VAT and sales taxes are calculated, collected, and remitted by Paddle as Merchant of Record
- If a payment fails, we may suspend access to premium features until payment is resolved
5.5 Auto-Renewal (Subscriptions Only)
Monthly and annual subscriptions purchased directly from us automatically renew at the end of each billing cycle at the then-current price, unless cancelled before the renewal date. We will provide reasonable advance notice of upcoming renewals where required by law (including under EU consumer protection rules, typically at least 14 days before annual renewal).
One-Time Plans do not renew. They are one-time purchases that grant access for the operational lifetime of the Service, as described in Section 5.8.
You may cancel auto-renewal at any time through:
- Direct purchases: Settings → Manage billing in the Service (the Paddle customer portal)
- App Store purchases: through your Apple ID or Google Play subscription settings
Cancellation takes effect at the end of the current billing period; you retain access to premium features until that date.
5.6 Refunds
Refunds and cancellations are governed by our Refund and Cancellation Policy. In summary:
- EU/EEA, UK, and Swiss consumers: see Section 7 for the right of withdrawal
- Direct purchases (subscriptions and One-Time Plans): a full refund on request within 14 days of any payment, no reason needed, via paddle.net or support@prosperify.ai (see the Refund Policy)
- App store purchases: refund policy is governed by Apple or Google. We have no control over app store refund decisions, but will assist where possible
5.7 Subscription Price and Plan Changes
We may change subscription prices, tier features, or introduce new plans. For existing subscribers:
- We will provide at least 30 days' advance notice of any price increase by email or in-app notification
- The new price will apply at your next renewal after the notice period
- If you do not accept the new price, you may cancel before the change takes effect, and the change will not apply to you
5.8 One-Time Plans
A "One-Time Plan" is a one-time purchase that grants access to designated premium features for the operational lifetime of the Service, subject to these Terms.
The following applies to One-Time Plans:
- Scope of access: access is granted to the premium features designated for One-Time Plans at the time of purchase. We may add new premium features that are not included in your One-Time Plan, but we will not remove material features already covered by your One-Time Plan, except where doing so is necessary for legal, security, or technical reasons
- Operational lifetime: "lifetime" refers to the operational lifetime of the Service, not your personal lifetime. We may discontinue the Service in accordance with these Terms, in which case the discontinuation provisions of our Refund Policy apply
- Non-transferability: One-Time Plans are tied to your account and are non-transferable, except as required by app store rules where applicable
- Refund treatment: specific refund rules for One-Time Plans are set out in our Refund Policy, including a pro-rata refund where we discontinue the Service within 24 months of your purchase
6. License Grant (EULA)
Subject to your compliance with these Terms, Xiom grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Download and install the Prosperify application on devices you own or control, in accordance with the rules of the relevant app store
- Use the Service for your personal, non-commercial use
This license terminates automatically when these Terms are terminated or when you stop using the Service.
7. Right of Withdrawal (EU/EEA, UK, Switzerland Consumers)
If you are a consumer resident in the European Economic Area, the United Kingdom, or Switzerland, you have a statutory right to withdraw from a contract for the Service within 14 days of the contract being concluded, without giving any reason.
7.1 Express Consent and Waiver for Immediate Performance
By purchasing a paid subscription or One-Time Plan and confirming the purchase, you:
- Expressly request that we begin providing the digital service immediately, before the 14-day withdrawal period expires
- Acknowledge that, by doing so, you lose your right of withdrawal once the digital service has been fully provided, in accordance with Article 16(m) of Directive 2011/83/EU
- Confirm that this consent and acknowledgment are given knowingly
This waiver applies only to digital service contracts and only where you have expressly consented as described above. It does not waive any other consumer rights, including statutory rights for non-conformity of digital content and services under EU Directive 2019/770.
7.2 How to Withdraw (Where Applicable)
If you wish to exercise the right of withdrawal where it has not been waived, you may notify us by:
- Email to support@prosperify.ai
- The model withdrawal form provided in Annex A of these Terms
You bear the burden of proof for exercising the withdrawal right within the 14-day period.
7.3 Effect of Withdrawal
Where withdrawal is validly exercised, we will refund all payments received from you within 14 days, using the same means of payment, unless you expressly agree otherwise.
7.4 14-Day Refund
Independently of the statutory withdrawal right, and even where you have given the waiver in Section 7.1, every direct purchase comes with a full refund on request within 14 days of any payment, as described in our Refund and Cancellation Policy.
8. User Conduct and Acceptable Use
You agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose
- Violate any applicable law, regulation, or third-party right
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
- Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure
- Upload, transmit, or introduce viruses, malware, or any malicious code
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use automated systems (bots, scrapers, crawlers) to access the Service, except as expressly permitted
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service, except to the extent that such restriction is prohibited by mandatory applicable law
- Copy, modify, distribute, sell, lease, or create derivative works of the Service or any part of it
- Remove, obscure, or alter any proprietary notices in the Service
- Use the Service to harass, abuse, or harm another person
- Use the Service in any manner that could damage, disable, overburden, or impair the Service
We may investigate violations and take appropriate action, including those described in Section 12.
9. Your Content and Data
9.1 Ownership
You retain all ownership rights in the data and content you input into the Service ("Your Content"), including financial records, notes, and other information you provide.
9.2 License to Us
You grant Xiom a limited, worldwide, royalty-free license to host, store, process, transmit, display, and back up Your Content solely as necessary to operate, maintain, and provide the Service to you and to comply with applicable law. This license terminates when you delete Your Content or close your account, except for backup copies retained for the period described in our Privacy Policy and as required by law.
9.3 No Use for AI Training Without Consent
We do not use Your Content to train third-party foundation AI models without your explicit consent, as further described in our Privacy Policy.
9.4 Your Responsibility
You are solely responsible for the accuracy, legality, and integrity of Your Content. We do not verify, validate, or audit the financial information you enter.
10. Intellectual Property
The Service, including its software, design, text, graphics, logos, trademarks, and all other content (excluding Your Content), is owned by Xiom OÜ or its licensors and is protected by copyright, trademark, and other intellectual property laws.
"Prosperify" and the Prosperify logo are trademarks of Xiom OÜ. You may not use them without our prior written consent.
Nothing in these Terms grants you any right, title, or interest in the Service except the limited license set out in Section 6.
11. Third-Party Services
The Service may integrate with or display information from third-party services, including market data providers, authentication providers (Apple, Google), payment processors, and infrastructure providers. We do not control these services and are not responsible for their content, accuracy, or practices. Your use of third-party services is governed by their own terms and privacy policies.
12. Suspension and Termination
12.1 Termination by You
You may terminate these Terms at any time by deleting your account through Settings → Account → Delete Account, or by contacting us. Termination does not entitle you to a refund except as required by law or our Refund Policy.
12.2 Suspension or Termination by Us
We may suspend or terminate your access to the Service, in whole or in part, where:
- You materially breach these Terms and, where the breach is capable of being remedied, fail to remedy it within a reasonable period after notice
- Your use of the Service poses a security, legal, or operational risk to us, other users, or third parties
- We are required to do so by law, court order, or competent authority
- We discontinue the Service or a feature, with reasonable advance notice
- Payment for your subscription has failed and remains unresolved after notice
12.3 Notice and Reasoned Decision
Except where immediate action is necessary (e.g., serious legal risk, security threat, ongoing harm to others), we will:
- Provide you with a reasoned notice stating the grounds for suspension or termination
- Give you a reasonable opportunity to respond or remedy the issue
- Allow you to export Your Content for at least 30 days following termination, subject to legal restrictions
12.4 Internal Complaint Mechanism
If you believe a suspension or termination decision was unjustified, you may submit a complaint to support@prosperify.ai. We will review the complaint promptly and respond within 14 days.
12.5 Effects of Termination
Upon termination:
- The license granted in Section 6 ends immediately
- Your access to the Service ends, including under any One-Time Plan to the extent termination is for cause
- Provisions that by their nature should survive (including Sections 9.1, 10, 16, 17, 18, 19, 20, 22) will continue to apply
- We will delete or anonymize Your Content in accordance with our Privacy Policy
12.6 Discontinuation of the Service
If we discontinue the Service or a material feature:
- We will provide at least 30 days' advance notice where reasonably possible
- Refund treatment is governed by our Refund Policy, including specific protections for One-Time Plan holders where the Service is discontinued within 24 months of purchase
13. Modifications to the Service
We may modify, update, add features to, or remove features from the Service at our reasonable discretion. For material changes that significantly reduce functionality available to paying subscribers or One-Time Plan holders, we will provide reasonable advance notice and, where appropriate, offer a refund or alternative in accordance with our Refund Policy.
14. End User License Agreement (EULA)
The license granted in Section 6 is the EULA for the Service. The following additional EULA terms apply:
14.1 Permitted Use
The license is for personal, non-commercial use only. You may not use the Service for the benefit of any third party except household members in your immediate household, where permitted by app store rules.
14.2 Restrictions
You may not, except as expressly permitted by these Terms or by mandatory applicable law:
- Copy or reproduce the Service
- Modify, adapt, translate, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble the Service
- Rent, lease, lend, sell, sublicense, or otherwise transfer the Service
- Remove or alter any proprietary notices
- Use the Service to develop a competing product or service
14.3 Updates
We may make updates, patches, and new versions of the Service available. Updates may be required for continued use, and may change features or remove functionality. Where you have purchased a paid subscription or One-Time Plan, we will provide updates necessary to keep the Service in conformity with the contract for the period required under EU Directive 2019/770 (typically the duration of the subscription, and a reasonable period for One-Time Plans).
14.4 Open Source Components
The Service may include open source software components, each governed by its own license. Where required, we will provide attribution and license texts on request or in the application's "About" section.
15. App Store-Specific Terms
If you obtained the Service through Apple's App Store or Google Play, the following additional terms apply.
15.1 Acknowledgment
You acknowledge that these Terms are between you and Xiom only, and not with Apple or Google. Xiom, not Apple or Google, is solely responsible for the Service and its content.
15.2 Apple App Store
If you obtained the Service from Apple's App Store, the following also applies:
- The license granted is limited to a non-transferable license to use the Service on Apple-branded products you own or control, as permitted by the Apple Media Services Terms and Conditions (the "Usage Rules")
- Apple has no obligation to furnish maintenance and support services for the Service
- In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service
- Xiom, not Apple, is responsible for addressing any product liability claims, claims that the Service fails to conform to legal or regulatory requirements, or claims under consumer protection law
- In the event of a third-party claim that the Service or your use of it infringes intellectual property rights, Xiom (not Apple) is responsible
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple has the right (and is deemed to have accepted the right) to enforce them against you
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and are not on any U.S. Government list of prohibited or restricted parties
- For One-Time Plans purchased through the App Store, restoration of purchases is handled in accordance with Apple's standard mechanisms
15.3 Google Play
If you obtained the Service from Google Play:
- You acknowledge that Google is not a party to these Terms and is not responsible for the Service
- Your use of the Service must comply with Google Play's Terms of Service
- Distribution and any disputes related to it are subject to Google Play policies
- For One-Time Plans purchased through Google Play, restoration of purchases is handled in accordance with Google's standard mechanisms
15.4 Conflict
To the extent any term of the applicable app store conflicts with these Terms in a way that grants you greater rights, the app store term prevails for that purchase.
16. Disclaimer of Warranties
16.1 General
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Service or the servers that make it available are free of viruses or other harmful components
- The information, market data, calculations, or AI-generated insights provided are accurate, complete, current, or reliable
16.2 Mandatory Consumer Rights
Nothing in this Section 16 limits or excludes:
- Statutory rights of consumers under applicable law that cannot be excluded or limited by contract, including under EU Directive 2019/770 (digital content and services), EU Directive 1999/44/EC and its successors, the UK Consumer Rights Act 2015, the Australian Consumer Law, and equivalent laws
- Our liability for death or personal injury caused by negligence
- Our liability for fraud or fraudulent misrepresentation
- Any liability that cannot be excluded under applicable law
EU consumers in particular benefit from a statutory right that the Service conforms to the contract, with remedies including bringing the Service into conformity, a price reduction, or termination of the contract, in accordance with EU Directive 2019/770.
17. Limitation of Liability
17.1 Exclusions
To the maximum extent permitted by applicable law, Xiom shall not be liable for any:
- Indirect, incidental, special, consequential, exemplary, or punitive damages
- Loss of profits, revenue, business, data (beyond what we are required to retain), goodwill, or anticipated savings
- Damages arising from your use of, or inability to use, the Service
- Damages arising from inaccuracies in market data, AI-generated insights, or any information provided through the Service
- Damages arising from financial decisions you make based on information from the Service (see Section 18)
- Damages arising from third-party services or content
- Damages arising from unauthorized access to your account due to your failure to maintain credential security
17.2 Cap on Liability
To the maximum extent permitted by applicable law, our total aggregate liability under or in connection with these Terms or the Service shall not exceed the greater of (a) the total amount you paid to us for the Service in the 12 months preceding the event giving rise to liability, or (b) EUR 100.
For One-Time Plan holders, the reference amount under (a) is the price you paid for the One-Time Plan.
17.3 Mandatory Carve-Outs
Nothing in this Section 17 limits or excludes liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation by us
- Gross negligence or willful misconduct
- Breach of essential contractual obligations (in jurisdictions where this cannot be excluded)
- Any other liability that cannot be excluded or limited under applicable law
For consumers, statutory liability rules under your local law continue to apply where they provide greater protection.
18. Financial Disclaimer
This is a critical section. Please read carefully.
The Service provides tools and information for personal financial tracking only. The Service does not provide:
- Investment advice or recommendations to buy, sell, or hold any security, asset, or financial instrument
- Financial advice or planning services
- Tax advice or tax preparation services
- Legal advice or legal services
- Accounting advice or accounting services
Market data, valuations, calculations, projections, AI-generated insights, and any other information displayed in the Service are provided for informational and educational purposes only. They:
- May be inaccurate, incomplete, delayed, or out of date
- Should not be relied upon as the sole basis for any financial decision
- Do not constitute a recommendation, solicitation, or offer to engage in any transaction
You are solely responsible for your financial decisions. Before making any financial decision, consult a qualified professional (such as a licensed financial advisor, tax advisor, or legal advisor) who is regulated in your jurisdiction.
Past performance is not indicative of future results. The value of investments can go down as well as up, and you may lose money.
19. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Xiom OÜ, its officers, directors, employees, and agents from any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your violation of any law or third-party right
- Your willful misconduct or gross negligence
- Your misuse of the Service
For consumers in the EU/EEA, UK, and other jurisdictions where broad consumer indemnities are unenforceable, this Section 19 applies only to the extent permitted by mandatory applicable law and only in cases of willful misconduct or gross negligence.
20. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, and pandemics. Where such events prevent performance for an extended period, either party may terminate the affected subscription without penalty. For One-Time Plan holders, prolonged force majeure events that materially affect the Service are addressed in our Refund Policy.
21. Governing Law and Dispute Resolution
21.1 Governing Law
These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of law principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
For consumers, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of the country in which you are habitually resident, in accordance with Article 6 of Regulation (EC) No 593/2008 (Rome I).
21.2 Informal Resolution
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. You may contact us at support@prosperify.ai to begin this process.
21.3 Alternative Dispute Resolution (EU Consumers)
We are not currently obligated to participate in alternative dispute resolution before a specific ADR body, but we are willing to engage in such procedures where appropriate.
21.4 Courts
Subject to mandatory consumer protection law:
- Disputes are subject to the exclusive jurisdiction of the courts of Tallinn, Estonia
- Consumers retain the right to bring proceedings in the courts of their country of residence and to be sued only in those courts, in accordance with Regulation (EU) No 1215/2012 (Brussels I Recast)
21.5 No Mandatory Arbitration for Consumers
We do not require consumers in the EU/EEA, UK, or other jurisdictions where this is prohibited to submit disputes to binding arbitration. Your right to bring proceedings before a competent court is preserved.
22. General Provisions
22.1 Entire Agreement
These Terms, together with the Privacy Policy, the Refund and Cancellation Policy, and any additional terms expressly incorporated, constitute the entire agreement between you and Xiom regarding the Service and supersede all prior agreements.
22.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced with a valid provision that most closely reflects the original intent.
22.3 No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
22.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
22.5 Changes to These Terms
We may update these Terms to reflect changes in the Service, our practices, or legal requirements. For material changes:
- We will provide at least 30 days' advance notice by email or in-app notification
- The notice will summarize the changes and indicate the effective date
- For paying subscribers, if you do not accept the changes, you may cancel before the effective date and receive a pro-rated refund of any prepaid fees for the unused period
- For One-Time Plan holders, where changes materially reduce the scope of access purchased, we will offer a fair remedy in accordance with our Refund Policy
- Continued use of the Service after the effective date constitutes acceptance of the updated Terms
Non-material changes (e.g., clarifications, formatting, contact details) take effect immediately upon posting.
22.6 Language
These Terms are provided in English. If translations are made available, the English version prevails in the event of any conflict, except where mandatory local law requires otherwise.
22.7 Notices
We may give notice to you by email, in-app notification, or by posting in the Service. You may give notice to us at support@prosperify.ai or by post to the address in Section 2.
22.8 Relationship
These Terms do not create any partnership, joint venture, agency, or employment relationship between you and Xiom.
